Welcome, and thank you for your interest in Anygraph, Inc. (“Anygraph,” “we,” “us,” or “our”), the makers of Steve, the AI business associate. These Terms of Service (“Terms”) govern your access to and use of Anygraph's software, platform, APIs, documentation, and related tools, including the websites www.anygraph.ai and app.anygraph.ai, and all related software and services made available by Anygraph (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
Please also read our Privacy Policy, which explains how we collect, use, disclose, and process personal data.
If you are using the Service as part of your work for a company or organization that has a Master Services Agreement (“MSA”) or Enterprise Agreement with Anygraph, your use of the Service is governed by that agreement to the extent it conflicts with these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” or “Customer” will refer to that entity.
1. Access and Use
1.1. Provision of Access. Anygraph provides Steve, an AI-powered business associate designed to assist with office productivity tasks including document creation, data analysis, and workflow automation. Subject to your compliance with these Terms, Anygraph grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the applicable subscription term.
1.2. Content. You may provide inputs to the Service (“Inputs”) and receive documents, outputs, code, analyses, or other materials generated based on your Inputs (collectively, “Outputs”). Inputs and Outputs are collectively referred to as “Content.” We may use Content solely to provide, maintain, and improve the Service, comply with applicable law, and enforce our terms and policies.
By submitting Inputs to the Service, you represent and warrant that you have all rights, licenses, and permissions necessary for us to process the Inputs under these Terms.
1.3. No Model Training on Your Data. Anygraph will not use your Content to train, or allow any third party to train, any AI or machine learning models. While your Content is stored to provide Service functionality (see Section 1.4), it is never used for AI training purposes.
1.4. Data Retention. Anygraph stores your Inputs and Outputs on our servers to provide you with access to your conversation history and enable Service functionality. Your Content is retained for as long as you maintain an active account, unless you request its removal. For on-premise or VPC deployments, all data remains within your infrastructure.
1.5. Limitations of AI-Generated Outputs. You acknowledge and agree that:
- Outputs may contain errors. The Service uses artificial intelligence and machine learning technologies that may produce inaccurate, incomplete, or misleading information. AI-generated content should not be relied upon as the sole basis for any decision.
- Outputs are not suitable for regulated decisions. The Service is not designed or intended for use in making decisions that are subject to regulatory requirements, including but not limited to medical, legal, financial, or safety-critical decisions, without independent human review and verification.
- You must verify all results. You are solely responsible for reviewing, validating, and verifying all Outputs before use. You bear all risks associated with reliance on any Output.
- Outputs may be similar to others. Outputs are generated automatically by machine learning technology and may be similar to or the same as outputs provided to other customers.
- AI limitations exist. AI models may struggle with nuanced language, complex reasoning, creative thinking, and context-dependent judgment. Data used to train underlying AI models may contain biases or inaccuracies.
1.6. Use Restrictions. Except to the extent such restriction is prohibited by applicable law, you may not:
- reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code or underlying algorithms of the Service;
- reproduce, modify, translate, or create derivative works of the Service;
- rent, lease, lend, sell, sublicense, or otherwise transfer access to the Service to any third party;
- remove, alter, or obscure any proprietary notices from the Service;
- use the Service or any Outputs to develop, train, or improve any AI model or service that competes with the Service;
- probe, scan, or test the vulnerability of the Service, or attempt to breach any security or authentication measures;
- access the Service in order to build a competitive product or service, or copy any features, functions, or graphics of the Service;
- use the Service to store or transmit malicious code, or to engage in any activity that interferes with or disrupts the Service;
- use the Service in any manner that infringes, misappropriates, or violates any third party's intellectual property rights or other rights, or that violates any applicable law or regulation;
- use the Service to generate content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; or
- permit any third party to do any of the foregoing.
You will promptly notify Anygraph of any unauthorized access or use that comes to your attention.
1.7. Beta Services. From time to time, Anygraph may make available features or services that are designated as beta, pilot, early access, preview, experimental, or similar (“Beta Services”). You may choose to use Beta Services at your sole discretion. Beta Services are provided for evaluation purposes, may not be fully supported, and may be subject to additional terms. Beta Services are provided on an “AS-IS” and “AS-AVAILABLE” basis without any warranty, support, maintenance, or availability commitment.
Anygraph may discontinue Beta Services at any time without notice and may never make them generally available. Anygraph shall have no liability whatsoever arising out of or in connection with Beta Services. Use of Beta Services is at your own risk.
2. Eligibility
The Service is intended for use by businesses and organizations. By agreeing to these Terms, you represent and warrant that:
- you are entering into these Terms on behalf of a company, organization, or other legal entity;
- you have the legal authority to bind that entity to these Terms;
- you are at least 18 years of age or the age of majority in your jurisdiction, whichever is higher;
- your use of the Service complies with all applicable laws and regulations in your jurisdiction; and
- you have not previously been suspended or removed from the Service.
3. Account Registration
To access the Service, you must register for an account. When you register, you agree to provide accurate, complete, and current information, and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must immediately notify Anygraph at founders@anygraph.ai if you believe your account has been compromised or if there is any unauthorized use of your account.
Anygraph reserves the right to disable any account at any time, including if we reasonably believe you have violated these Terms.
4. Payment Terms
4.1. Fees. Certain features of the Service require payment of fees. Before paying any fees, you will have an opportunity to review and accept the applicable pricing. Unless otherwise stated, all fees are in U.S. Dollars and are non-refundable except as required by law or as expressly provided in these Terms. Pricing is subject to any terms set forth in an applicable Order Form or Enterprise Agreement.
4.2. Pricing Changes. Anygraph reserves the right to modify pricing at any time. We will provide at least thirty (30) days' advance notice of any price increase through the Service, email, or other reasonable means. Your continued use of the Service after the price change takes effect constitutes your agreement to pay the modified fees.
4.3. Payment Processing. Payment processing is provided by Polar Software, Inc. and its affiliates (“Payment Processors”). By using the payment features of the Service, you agree to be bound by the applicable terms and privacy policies of our Payment Processors. Anygraph assumes no liability for any payments processed through these services.
4.4. Subscriptions. If you purchase a subscription, your subscription will automatically renew for successive periods of the same duration unless you cancel before the renewal date. You authorize Anygraph and its Payment Processors to charge the applicable fees to your designated payment method on a recurring basis.
You may cancel your subscription at any time through your account settings or by contacting founders@anygraph.ai. Cancellation must be received before the renewal date to avoid charges for the next subscription period.
4.5. Usage-Based Fees. Certain features of the Service may be subject to usage-based fees as described in the Service or applicable Order Form. You are responsible for monitoring your usage and will be charged for usage in excess of any included allowances at the rates specified.
4.6. Taxes. You are responsible for all taxes, duties, and levies associated with your use of the Service, excluding taxes based on Anygraph's net income. If Anygraph is required to collect or pay any taxes on your behalf, such taxes will be charged to you.
4.7. Delinquent Accounts. Anygraph may suspend or terminate access to the Service for any account with overdue payments. Delinquent accounts may be charged fees associated with collection efforts.
5. Ownership and Intellectual Property
5.1. Anygraph's Ownership. Anygraph and its licensors own and retain all right, title, and interest in and to the Service, including all software, algorithms, models, interfaces, documentation, and all related intellectual property rights. These Terms do not grant you any rights to use Anygraph's trademarks, logos, or other brand features without prior written consent.
5.2. Your Content. You retain all right, title, and interest in and to your Inputs. Subject to Section 5.3, Anygraph assigns to you all right, title, and interest (if any) in and to Outputs generated specifically for you through your use of the Service.
5.3. Feedback. If you provide suggestions, ideas, or other feedback regarding the Service (“Feedback”), you grant Anygraph a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without restriction or compensation to you.
5.4. Usage Data. Anygraph may collect and analyze aggregated, de-identified data regarding use of the Service (“Usage Data”) for purposes of improving, developing, and operating the Service. Usage Data does not include your Content.
6. Third-Party Services
The Service may integrate with or enable access to third-party services, applications, or content (“Third-Party Services”), including but not limited to Microsoft 365, Google Workspace, and other productivity tools. Your use of Third-Party Services is subject to the terms and policies of those third parties. Anygraph does not control and is not responsible for Third-Party Services, and makes no representations or warranties regarding them.
7. Confidentiality
Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential (“Confidential Information”). Confidential Information does not include information that:
- is or becomes publicly available without breach of these Terms;
- was known to the receiving party prior to disclosure;
- is independently developed by the receiving party; or
- is rightfully obtained from a third party without restriction.
8. Security and Compliance
8.1. Security Measures. Anygraph implements and maintains administrative, technical, and physical safeguards designed to protect the Service and your data. Details regarding our security practices are available upon request.
8.2. Compliance. Anygraph is committed to achieving and maintaining SOC 2 Type II certification. For customers with specific compliance requirements, we offer on-premise or VPC deployment options and can provide additional documentation upon request.
8.3. Data Residency. For enterprise customers, Anygraph offers data residency options in multiple regions, including the United States, Malaysia, and Singapore. Please contact us for more information.
9. Term and Termination
9.1. Term. These Terms are effective upon your first access to or use of the Service and continue until terminated.
9.2. Termination by You. You may stop using the Service and terminate these Terms at any time by contacting us at founders@anygraph.ai to request account closure.
9.3. Termination by Anygraph. Anygraph may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. If we terminate your access without cause during an active subscription period, we will refund a pro-rata portion of prepaid fees for the remainder of that period. No refund will be provided if termination is due to your breach of these Terms.
9.4. Effect of Termination. Upon termination: (a) your right to access and use the Service immediately ceases; (b) you must cease all use of the Service; and (c) Anygraph may delete your account and associated data. Sections 1.5, 1.6, 4 (for amounts owed), 5, 7, 10, 11, 12, 13, and 14 shall survive any termination of these Terms.
10. Disclaimer of Warranties
The Service and all Outputs are provided “as is” and “as available” without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, Anygraph disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Anygraph does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Anygraph does not warrant the accuracy, completeness, or reliability of any Output.
You expressly acknowledge that AI-generated Outputs may contain errors and should not be relied upon without independent verification.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
11.1. Exclusion of Indirect Damages. To the fullest extent permitted by law, in no event will Anygraph or its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including damages for loss of profits, goodwill, data, or other intangible losses, arising out of or relating to these Terms or the Service, regardless of the theory of liability and even if Anygraph has been advised of the possibility of such damages.
11.2. Liability Cap. To the fullest extent permitted by law, Anygraph's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the amounts paid by you to Anygraph in the twelve (12) months preceding the claim; or (b) one hundred U.S. dollars.
11.3. Essential Purpose. The limitations in this section apply even if any limited remedy fails of its essential purpose. These limitations are fundamental elements of the basis of the bargain between you and Anygraph.
12. Indemnification
You agree to defend, indemnify, and hold harmless Anygraph and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- your use of the Service;
- your Content or any use thereof;
- your violation of these Terms;
- your violation of any applicable law or regulation; or
- your violation of any third-party rights.
Anygraph reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
13. Dispute Resolution
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
13.1. Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact Anygraph at founders@anygraph.ai and attempt to resolve the dispute informally. If we are unable to resolve the dispute within sixty (60) days, either party may proceed as set forth below.
13.2. Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, unless the parties mutually agree otherwise.
The arbitrator shall have exclusive authority to resolve all disputes, including the scope, enforceability, and arbitrability of this arbitration provision. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
13.3. Class Action Waiver. You and Anygraph agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate proceedings or preside over any form of class or representative proceeding.
13.4. Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
13.5. Opt-Out. You may opt out of this arbitration provision by sending written notice to founders@anygraph.ai within thirty (30) days of first accepting these Terms. Your notice must include your name, account information, and a clear statement that you wish to opt out of arbitration.
14. General Provisions
14.1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. To the extent arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware.
14.2. International Use. The Service is operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with all applicable local laws. You agree to comply with all applicable export and import laws and regulations.
14.3. Entire Agreement. These Terms, together with the Privacy Policy and any applicable Order Form or Enterprise Agreement, constitute the entire agreement between you and Anygraph regarding the Service and supersede all prior agreements and understandings.
14.4. Modifications. Anygraph may modify these Terms at any time by posting the revised Terms on our website. Material changes will be notified via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.
14.5. Assignment. You may not assign or transfer these Terms or any rights hereunder without Anygraph's prior written consent. Anygraph may assign these Terms without restriction.
14.6. Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
14.7. Waiver. The failure of Anygraph to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.8. Notices. All notices to Anygraph shall be sent to founders@anygraph.ai. Notices to you will be sent to the email address associated with your account.
14.9. Electronic Communications. By using the Service, you consent to receiving electronic communications from Anygraph. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
14.10. Force Majeure. Anygraph shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, labor disputes, government actions, or failures of third-party services.
14.11. No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
15. Copyright and Intellectual Property Complaints
If you believe that any content on the Service infringes your intellectual property rights, please send a notice to founders@anygraph.ai containing:
- a description of the copyrighted work or intellectual property claimed to be infringed;
- identification of the allegedly infringing material and its location on the Service;
- your contact information;
- a statement that you have a good-faith belief that the use is not authorized; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rights owner.
